Terms of business

These terms apply when you open a trade account with Texan Wholesale and when you order from us. Please read them alongside our privacy policy.

1. Who we are, and who you are

These terms are between Texan Wholesale of 2635 Mossrock, Ste 101, San Antonio, TX 78230 and the business opening the account.

We supply trade customers only. By opening an account you confirm you are buying for a business, in the course of that business, and not as a consumer. Consumer protection rules that apply to retail sales do not apply to this account.

2. Opening an account

You apply by giving us your business details. We verify them before the account can order — until it is approved you can sign in but not place an order.

We may decline an application, and we may suspend or close an account, at our discretion. You must keep your details accurate and tell us if they change.

You are responsible for what happens under your login. Keep the password to yourself and tell us straight away if you think someone else has it.

3. Prices

  • Prices are shown per case and exclude tax unless we say otherwise.
  • The price that applies is the price shown when you place the order. If a price changes while items are sitting in your cart, we will tell you at checkout rather than silently charging the new one.
  • We may change prices at any time before an order is placed.
  • Orders are subject to a minimum order value, shown in your cart. [CONFIRM: the minimum order value, and whether it differs by customer or delivery area]

4. Orders

An order you place is an offer to buy. A contract forms when we confirm the order. We may decline an order, or part of one, if stock is unavailable or the price was wrong.

You can cancel an order yourself while it is still pending or confirmed. Once we have begun picking it you will need to contact us, and we may not be able to stop it.

We may adjust the items on an order where stock requires it, and will tell you when we do.

5. Delivery and collection

You choose pickup or delivery at checkout, and may request a day and a morning or afternoon window. Requested windows are targets, not guarantees.

6. Payment

Invoices are raised against completed orders and are available to download from your account.

7. Shortages, damage and returns

Check your order when it arrives. Tell us about a shortage, a damaged case or a wrong item as soon as you can so we can put it right.

8. Age-restricted and regulated goods

Where we supply goods that are restricted by law, you are responsible for holding every licence and permit your business needs to buy, store and resell them, and for complying with the rules that apply to their sale. We may ask to see those licences, and may refuse to supply without them.

9. Our liability

We do not exclude liability where the law does not allow it. Otherwise, and because this is a business contract, we are not liable for loss of profit, loss of business or indirect loss.

10. The platform

We aim to keep the website and app available, but we do not guarantee uninterrupted access, and we may change or withdraw features. Do not misuse the platform, attempt to access another customer's account, or take the catalogue for any purpose other than buying from us.

11. Changing these terms

We may update these terms. The version that applies to an order is the one published when you placed it. If we make a material change we will tell you by email.

12. Governing law

These terms are governed by the laws of the State of Texas, and the courts of [CONFIRM: county] County, Texas have exclusive jurisdiction.
